Terms of Service

These Terms of Service govern the use of NotifyJet and related websites, APIs and dashboards. By creating an account or using the service you agree to these Terms. Last updated: 2025-12-19.

1. Contracting Party

The service is provided by MultiPro Vermietung & Überführungs GmbH, Mühlheimer Str. 87, 51469 Bergisch Gladbach, Germany. Contact: it@multipro.gmbh, +49 151 29021879.

2. Scope and Definitions

These Terms apply to all agreements concerning NotifyJet. “Account” means your customer account; “API” means programmatic interfaces we provide; “Credits” means prepaid units used to send messages or access features.

3. Eligibility and Account

• You must be legally capable to contract and, if acting on behalf of an entity, have authority to bind that entity.
• You are responsible for safeguarding credentials and for all activity under your account.
• Provide accurate information and keep it up to date.

4. Services

We provide APIs and dashboards to send SMS and related messaging, subject to plan limits, fair-use, and applicable law. Features may vary by plan and region.

5. Acceptable Use

• No illegal content or activity; no spam, scams, phishing, malware, or harassment.
• Obtain and document valid consent where required (e.g., marketing messages); honor opt-out/STOP requests promptly.
• No high-risk or emergency uses; the service is not a substitute for emergency communications.
• Do not attempt to circumvent rate limits, security or authentication; do not resell without permission.
• You are solely responsible for message content and recipients and for complying with telecom and privacy laws (e.g., GDPR, ePrivacy, local telecom/consumer regulations).

6. Credits, Plans, Billing

• Credits are consumed per message/feature as specified in the dashboard/pricing pages.
• Subscriptions renew monthly until cancelled. You can cancel with effect at the end of the current period.
• Prices may change; we will notify you in advance where legally required.
• Taxes/VAT are applied where applicable. In case of non-payment we may suspend or limit access.
• Unless required by law, purchased credits are non-refundable.

7. Third-Party Providers

We may use telecommunications carriers, hosting and payment providers (e.g., Stripe) to deliver the service. Each third party may have its own terms and policies. We are not responsible for their services beyond our control.

8. Availability and Maintenance

We strive for high availability but do not guarantee uninterrupted service. Planned maintenance and urgent security fixes may require temporary downtime. We will use reasonable efforts to give notice where feasible.

9. Data Protection

We process personal data as described in our Privacy Policy. You are responsible for providing any required notices to, and obtaining any required consents from, your end users and message recipients.

10. Intellectual Property

We retain all rights in and to the service, software and documentation. You receive a limited, non-exclusive, non-transferable right to use the APIs and dashboards for your internal business purposes in accordance with these Terms.

11. Warranties and Disclaimers

The service is provided “as is” and “as available.” To the extent permitted by law, we disclaim all warranties, whether express, implied or statutory, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenues, data or goodwill. Our aggregate liability arising out of or relating to the service is limited to the amounts paid by you to us for the service during the 12 months preceding the event giving rise to liability. Nothing limits liability where not permitted under mandatory law (e.g., personal injury, intent, product liability).

13. Indemnification

You will indemnify and hold harmless MultiPro Vermietung & Überführungs GmbH from and against claims, damages, liabilities, costs and expenses (including reasonable attorneys’ fees) arising from your content, your use of the service in violation of these Terms or applicable law, or any infringement of third-party rights.

14. Suspension and Termination

• You may terminate at any time with effect at the end of your current subscription period or when credits are exhausted.
• We may suspend or terminate access for material breach, unlawful activity, or risks to the service or third parties.
• Sections that by nature should survive (e.g., IP, liability, indemnity, payment obligations) survive termination.

15. Changes to the Terms

We may update these Terms. If changes are material, we will provide notice (e.g., e-mail or in-app) with reasonable advance effect, subject to mandatory law. Continued use after the effective date constitutes acceptance of the updated Terms.

16. Governing Law and Venue

These Terms are governed by the laws of Germany, excluding its conflict of laws rules. The exclusive venue for disputes is, to the extent permitted, Bergisch Gladbach or Cologne, Germany. If you are a consumer, mandatory consumer protection provisions of your habitual residence remain unaffected.

17. Severability

If any provision of these Terms is held invalid, the remaining provisions will remain in full force, and the invalid provision will be replaced by a valid one that best achieves the intended purpose.
